Xylon Worldwide Trading Ltd ("Xylon", website: xylonwwt.com, contact email: business@xylonwwt.com) has formulated these Terms of Service in accordance with the EU's Unfair Contract Terms Directive (93/13/EEC), the Consumer Rights Directive (2011/83/EU), and relevant regulations of each member state, regarding the provision of bag-related services (including product sales, customization, after-sales service, and consultation) to customers within the EU (including consumer and business customers). By placing an order, consulting, or using related services through Xylon's official website, offline partner channels, or other means, you are deemed to have fully read, understood, and agreed to all contents of these Terms of Service, which constitute a legally binding agreement between you and Xylon.
Scope of Services
1. Core Services
Xylon provides services to customers within the EU, including but not limited to: sales of various Xylon brand bags (fashion women's bags, business men's bags, casual backpacks, travel bags, etc.); customized bag design, production, and delivery services; after-sales repair, return, and exchange services (specific return and exchange policies apply); and auxiliary services such as product consultation, order tracking, and technical support.
2. Applicable Regions
These terms apply to all service scenarios where the delivery address or service location is located in the 27 EU member states, as well as Iceland, Liechtenstein, and Norway (EEA region). If the service location is outside the EU, please contact customer service separately to confirm the specific service terms.
Service Usage Guidelines
Customer Obligations
Provide accurate & complete information; comply with EU laws; avoid fraudulent/illegal activities; provide clear customization requirements timely. You are liable for service delays caused by unclear requirements or delayed materials.
Xylon Obligations
Provide honest & fair services; ensure GDPR compliance for personal data; respond promptly to reasonable inquiries; provide clear service instructions.
Orders and Payment
1. Order Confirmation
After you submit your order, Xylon will review the order information (including inventory, feasibility of customization requests, etc.) within 2 business days. The order will officially take effect after the review is approved and a confirmation email is sent. If there are any issues with the order information (such as incomplete address or inability to fulfill customization requests), Xylon will contact you promptly to discuss the matter. The order will not be effective until an agreement is reached.
2. Payment Requirements
You must complete the payment according to the confirmed amount and deadline. Common EU payment methods are supported, including credit cards (Visa, Mastercard, etc.), PayPal, and bank transfer. The default currency is Euro (EUR). Xylon reserves the right to cancel the order if payment is not received by the deadline.
3. Price and Taxes
The order price is as shown at the time of confirmation and includes Value Added Tax (VAT) (applicable to consumer orders). Taxes for business customer orders will be handled according to mutual agreement and relevant regulations. Any additional taxes incurred due to customs policy adjustments will be borne by the responsible party (subject to customs verification).
Intellectual Property
1. Xylon Intellectual Property
Xylon owns all intellectual property rights to its brand trademarks, logo, product designs, website content, and other related intellectual property. You may not use, copy, disseminate, or modify these without Xylon's written authorization.
2. Client Intellectual Property
You must ensure that the customized design schemes, logos, and other materials you provide possess legal intellectual property rights or have obtained the relevant authorization. You will bear full responsibility for any infringement disputes arising from these materials. With your consent, Xylon may use customized product examples for non-commercial display (prior written notification is required if confidentiality is required).
Limitation of Liability and Disclaimer
1. Limitation of Liability
Xylon is liable for direct losses arising from the provision of its services, but the compensation amount shall not exceed the actual payment amount of the corresponding order. For indirect losses (such as lost profits, business interruption, etc.), Xylon shall not be liable for compensation unless caused by Xylon's intentional act or gross negligence.
2. Disclaimer
Xylon shall not be liable for breach of contract if the service cannot be provided or is defective due to force majeure (natural disasters, war, strikes, sudden changes in EU regulations, etc.), customer's own reasons (incorrect information, delays due to changes in requirements, etc.), or third-party factors (logistics delays, customs clearance, etc.), but will promptly notify you and assist in resolving the issue.
3. Special Note
Xylon is not liable for personal injury or property damage caused by your improper use of the product; for customized products, if the product does not match your requirements due to errors in your provided information, you shall bear the responsibility, and Xylon may provide a paid modification service.
Terms Update and Service Termination
1. Terms Update
Xylon may revise these terms in accordance with changes in EU regulations or business adjustments. Revised terms will be published prominently on the official website with the new effective date indicated. If the revision involves your core rights, you will be notified separately via email. Your continued use of the service constitutes acceptance of the revised terms.
2. Service Termination
You may terminate the service at any time via email (already generated orders must be fulfilled as agreed). If you seriously violate these terms or engage in illegal or irregular activities, Xylon has the right to immediately terminate the service and pursue relevant liabilities. If Xylon terminates the service due to business adjustments, it will notify you 30 days in advance and properly handle unfinished orders and related matters.
Dispute Resolution
- Negotiation First: Any dispute arising from these terms or the service shall first be resolved through friendly negotiation between the parties. Negotiation can be conducted via business@xylonwwt.com.
- Complaints and Arbitration: If negotiation fails, consumers have the right to file a complaint with the consumer protection agency of their respective member state; disputes involving commercial customers may be submitted to an arbitration institution with jurisdiction in Xylon's place of registration for arbitration in accordance with its rules.
- Applicable Law: These terms are governed by relevant EU laws and regulations and the laws of Xylon's place of registration. In case of conflict, the mandatory EU regulations shall prevail.
